YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES OR ANY CONTENT IS TO DISCONTINUE USE OF THE SERVICES. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF MASLD SUPPLEMENTS LTD. TO YOU EXCEED THE GREATER OF (A) CAD $100 OR (B) THE TOTAL AMOUNT PAID BY YOU, IF ANY, FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH CASES, THE FOREGOING LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

7. No Guarantee of Outcomes

MASLD Supplements Ltd. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with MASLD in asserting any available defenses. This indemnification obligation will survive your use of the Services and the termination of these Terms.

Modifications

MASLD Supplements Ltd. reserves the right, in its sole discretion, to modify, amend, suspend, or discontinue any part of the Services, these Terms, or any related policies at any time and without prior notice. Any such modifications will be effective immediately upon posting the updated version on the website, unless otherwise stated. Your continued access to or use of the Services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must immediately stop using the Services.

MASLD Supplements Ltd. shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services or any content therein. It is your responsibility to review these Terms periodically for updates.

10. Governing Law

This Agreement and any dispute, claim, or controversy arising out of or relating to your use of the Services, any products purchased, or these Terms (collectively, a “Dispute”) shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

For users located in Canada:
You agree that any Dispute shall be submitted to binding arbitration under the Arbitration Act, 1991 (Ontario) and conducted in Toronto, Ontario, before a single arbitrator mutually selected by the parties. The language of arbitration shall be English, and the proceedings shall remain confidential. Each party shall bear its own legal fees and costs unless otherwise determined by the arbitrator. The arbitrator’s award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

For users located in the United States or other jurisdictions:
To the fullest extent permitted by applicable law, you agree that any Dispute shall likewise be resolved exclusively and finally by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the hearing conducted in Toronto, Ontario, Canada, unless otherwise required by law. You hereby consent to the personal jurisdiction of the courts of Ontario, Canada, for any action necessary to enforce an arbitration award or for any claims not subject to arbitration.

CLASS ACTION AND JURY TRIAL WAIVER:
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND MASLD SUPPLEMENTS LTD. EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING, AND ANY RIGHT TO A TRIAL BY JURY.
ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS, AND THE ARBITRATOR MAY AWARD RELIEF ONLY ON BEHALF OF THE INDIVIDUAL CLAIMANT.

Notwithstanding the foregoing:
MASLD Supplements Ltd. may initiate proceedings in any jurisdiction to (a) protect or enforce its intellectual property rights, (b) seek injunctive or equitable relief, or (c) collect unpaid amounts owed by you.

If any provision of this arbitration clause is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the Dispute shall be resolved in the courts of Ontario, Canada.

Miscellaneous

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be severed or modified only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any other policies or disclaimers incorporated by reference, constitute the entire agreement between you and MASLD Supplements Ltd. regarding your use of the Services and supersede all prior understandings or communications, whether oral or written.

No failure or delay by MASLD Supplements Ltd. in exercising any right, remedy, or power under these Terms shall operate as a waiver of such right or power. Any waiver must be in writing and signed by an authorized representative of MASLD Supplements Ltd.

MASLD Supplements Ltd. shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, governmental actions, labour disputes, network outages, or other force-majeure events.

You may not assign or transfer any rights or obligations under these Terms without MASLD’s prior written consent. MASLD Supplements Ltd. may assign these Terms, in whole or in part, without restriction, including to a successor or affiliate.
